Taxation
Tax consulting, compliance, controversy, and litigation is a premier practice area of our firm, and one for which we have gained substantial recognition.
Our tax practice encompasses all areas of federal, state and local taxation as they apply to individuals, business entities, estates, and trusts.
We are especially noted for our representation of clients before the Internal Revenue Service regarding audits and criminal and civil litigation at both the trial and appellate levels before the U.S. Tax Court, District Court, Circuit Courts of Appeal, and the U.S. Supreme Court.
The firm has long been noted for its creativity in solving the most complicated tax situations.
Our tax attorneys, particularly Dan McCarthy, Kimon Karas, John Seich and Roger Stewart, receive frequent requests to speak before government, professional, civic, education, and charitable organizations. Our tax attorneys are also involved in planning educational seminars.
Litigation
Since 1968, our litigation practice has grown significantly to include virtually all types of civil trial and appellate work, as well as white-collar criminal defense.
We have extensive trial experience in contract, product liability, real estate, negligence, securities and shareholder disputes. Our senior litigators, Mark Cohn, David Schaefer, Chuck Royer and former judge Rob Glickman, also have litigation and trial experience in employee discrimination, personal injury, medical malpractice, construction disputes, defamation, bankruptcy, criminal and environmental matters.
One of the keys to our successful litigation practice is the expertise we demonstrate during the investigative stage, so as to arrive at an early and affordable resolution. Our attorneys are experienced with all dispute resolution techniques, such as mediation and arbitration. Because of their vast experience in litigation, our attorneys are often appointed to act as mediators or arbitrators in cases being handled by other firms.
Our availability to handle sophisticated legal matters in these specialized areas is coupled with the personal, responsive touch that only a firm our size can provide.
Corporate and General Business
Larry Crystal, Ken Liffman and Kimon Karas lead our corporate practice and offer their assistance and counsel in a wide variety of areas. Some of their specialties include: formation of legal entities, such as corporations, limited liability companies and partnerships, valuation of businesses, mergers and acquisitions, deferred compensation agreements, buy-sell agreements, business and tax matters concerning partnerships, "S" corporations, limited liability companies, and construction law.
Banking and Finance
Ken Liffman, also our managing principal, and Stuart Mintz provide representation to both lenders and borrowers in commercial loan transactions and related areas of corporate finance. In addition, David Rosenzweig and Stuart Mintz, both formerly in-house legal counsel to major banks, provide a multitude of services in the banking and finance area, including bank and branch formation, mergers and acquisitions of lending institutions, regulatory compliance and loan documentation. The firm represents both borrowers and lenders in workouts and restructuring of troubled loans. Our finance section also provides guidance in the development and financing of hotels and restaurants and in all aspects of franchising. Moreover, our practice also includes a full range of services to health care providers, including the purchase and sale of practices.
Real Estate
Ken Liffman leads the firm's significant practice in real estate law with concentration on representation of commercial and residential real estate developers and contractors, private investors, and closely-held businesses in the purchase, lease, or sale of properties, including manufacturing facilities, office parks, shopping centers, subdivisions and condominiums.
The firm represents clients before municipalities to secure approval on such matters as zoning, building permits, variances, planned unit developments, subdivisions, and site plans, as well as preparing the necessary legal documents.
Bankruptcy and Creditor's Rights
We have long been recognized for our extensive knowledge of, and experience in, bankruptcy law, creditors' rights and financial workouts and restructuring.
This practice area, led by Robert Kracht and Chuck Royer, provides representation to banks, financial institutions, troubled businesses, and individuals.
Strong believers in the preventive approach, our attorneys stress documentation of credit-related matters, thereby providing clients with the best position to enforce claims. We believe that, whenever possible, time is more effectively utilized and far more beneficial for our clients when we negotiate from a position of strength. If matters do, however, reach the lawsuit stage, our bankruptcy attorneys, assisted by our litigators, provide extremely competent representation in state and federal courts.
Estate Planning
Led by John Seich and Kimon Karas, our estate planning practice emphasizes creative planning to minimize estate taxes, to transfer the family business to a succeeding generation and to develop retirement plans that minimize taxation. In these matters, clients not only receive legal counsel, but financial advice as well, since a number of our attorneys are also Certified Public Accountants.
Today, there are numerous planning options available. These innovations, coupled with the constant changes in estate taxation, create a need for sophisticated planning techniques - a strength that we possess.
Admitted to practice in Ohio, Florida and other states, our estate planning counsel can follow clients through retirement.
Family Law
Attention to detail, an aggressive hands-on approach and an understanding of how the divorce court works, has made our family law practice extremely well-respected, not only by our clients, but by the legal community as well. The practice, which encompasses divorce (from negotiation to litigation) and preparation of antenuptial/prenuptial agreements, is headed by Rick Rabb.
Custody, relocation and support are critical matters in divorces involving children and are also continuing issues which are commonly raised after the divorce has been concluded. We have a great deal of experience and know-how to properly pursue or, if necessary, litigate such matters.
